1. INTRODUCTION AND ACCEPTANCE
1.1 These Terms of Use ("Terms") govern your access to and use of the EventStreams platform, including all associated web applications, APIs, mobile interfaces, and services (collectively, the "Platform"), operated by EventStreams Systems Ltd ("EventStreams", "we", "us", or "our").
1.2 By registering for an account, accessing the Platform, or using any part of the service, you ("you", "User", or "Customer") agree to be bound by these Terms in full. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" shall refer to that entity.
1.3 If you do not agree to these Terms, you must not access or use the Platform.
1.4 These Terms should be read alongside our Privacy Policy and Acceptable Use Policy, which are incorporated by reference.

2. DEFINITIONS
In these Terms, the following words have the following meanings:
- "Account" means a registered account on the Platform, held by an Organisation.
- "Attendee" means an end-user who registers for or participates in an Event hosted on the Platform.
- "Console" means the organiser-facing management interface provided by EventStreams.
- "Content" means all data, text, images, video, audio, documents, and other materials uploaded to or generated through the Platform.
- "Event" means a live, virtual, or hybrid event created and managed through the Platform.
- "Organisation" means a company, individual, or entity that holds an Account and uses the Platform to create and manage Events.
- "Plan" means the subscription tier selected by the Organisation (Free, Pro, Business, or Enterprise).
- "Platform" means all software, services, APIs, and infrastructure provided by EventStreams.
- "User" means any individual who accesses the Platform, including Organisations, their staff contacts, and Attendees.

3. ACCOUNT REGISTRATION AND ELIGIBILITY
3.1 Eligibility. You must be at least 18 years of age and legally capable of entering into a binding contract to register for an Account. The Platform is not intended for use by children under 13, and you must not knowingly permit a child under 13 to use the Platform.
3.2 Account Information. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. EventStreams reserves the right to suspend or terminate any Account based on inaccurate or misleading information.
3.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at hello@eventstreams.co of any suspected unauthorised access. We support two-factor authentication (2FA) and strongly recommend its use.
3.4 Account Tiers. Accounts are subject to the features, usage limits, and pricing associated with the selected Plan. EventStreams reserves the right to enforce usage limits (including storage, video, bandwidth, and concurrent connections) in accordance with the applicable Plan.
3.5 Multiple Users. Organisations may grant access to multiple staff members ("Contacts") under a single Account. Each Contact is individually bound by these Terms, and the Organisation remains responsible for all activity conducted by its Contacts.

4. PLATFORM SERVICES
4.1 Core Services. EventStreams provides a multi-tenant SaaS platform for the creation, management, and delivery of in-person, virtual, and hybrid events. Core features include, but are not limited to:
- Event creation, scheduling, and management
- Attendee registration and ticketing
- Live streaming and video-on-demand (VOD)
- Live video rooms and stage functionality
- Real-time attendee engagement tools (polls, Q&A, live chat)
- Custom-branded event domains
- Analytics and reporting
- Email communications to Attendees
- Venue mapping and geolocation features
- Payment collection and financial reporting
- AI-powered assistant and knowledge base features (where enabled)
- Domain purchasing and management
4.2 Feature Availability. Not all features are available on all Plans. EventStreams may modify, add, or remove features from any Plan at any time, subject to reasonable notice where such changes materially affect paid subscriptions.
4.3 Custom Domains. Where the Platform facilitates the registration, hosting, or management of custom domains, you are solely responsible for compliance with applicable domain registration rules, trademark obligations, and the policies of the relevant domain registry. EventStreams acts as an intermediary and does not own or control domains registered on your behalf.
4.4 AI Features. The Platform includes AI-powered features including a knowledge base chat assistant and AI voice generation (collectively, "AI Features"). AI Features may produce inaccurate, incomplete, or inappropriate output. You are solely responsible for reviewing and validating any output generated by AI Features before use. EventStreams makes no warranty as to the accuracy, reliability, or fitness for purpose of AI-generated content.
4.5 Live Streaming and Video. Live streaming and video features are subject to separate usage limits and fair-use policies. EventStreams does not guarantee uninterrupted availability of streaming services and shall not be liable for interruptions caused by third-party infrastructure providers.

5. SUBSCRIPTION, BILLING, AND PAYMENTS
5.1 Subscription Plans. Access to paid features of the Platform is subject to selection of an appropriate Plan and payment of the applicable fees. Current Plan pricing is available on our website.
5.2 Billing. Fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are exclusive of applicable taxes (including VAT) unless stated otherwise. You are responsible for any applicable taxes.
5.3 Payment Processing. Payments are processed by Stripe (a third-party payment processor). By making a payment, you agree to Stripe's terms of service. EventStreams does not store your full payment card details.
5.4 Ticket and Event Revenue. Where the Platform is used to sell tickets or collect payments from Attendees on your behalf, such functionality is provided via Stripe Connect. You acknowledge and agree that:
- You are the merchant of record for Attendee ticket transactions;
- EventStreams may deduct applicable platform fees and/or transaction fees before remitting proceeds;
- Refunds, chargebacks, and disputes remain your responsibility;
- You must comply with all applicable laws relating to the sale of tickets and collection of consumer payments.
5.5 Capacity Packs and Credits. EventStreams may offer pre-purchased capacity packs or credits for live event features. These are non-refundable unless otherwise stated and may expire in accordance with the applicable terms communicated at purchase.
5.6 Late Payment. If any payment is not received by its due date, EventStreams reserves the right to suspend access to the Platform until outstanding amounts are settled.
5.7 Cancellation and Refunds. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by applicable law.
5.8 Price Changes. EventStreams may adjust Plan pricing on not less than 30 days' written notice. Continued use of the Platform after the effective date of a price change constitutes your acceptance of the revised pricing.

6. ACCEPTABLE USE
6.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Upload, transmit, or distribute Content that is unlawful, harmful, defamatory, obscene, infringing, or otherwise objectionable;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Platform to conduct fraudulent, deceptive, or misleading Events or transactions;
- Attempt to gain unauthorised access to the Platform, other Accounts, or related systems or networks;
- Reverse-engineer, decompile, or disassemble any part of the Platform;
- Introduce viruses, malware, or other harmful code;
- Use automated means (bots, scrapers, or crawlers) to access the Platform without our prior written consent;
- Resell, sublicense, or otherwise commercialise access to the Platform without our express written authorisation;
- Use the Platform to send unsolicited commercial communications (spam) to Attendees or third parties;
- Violate applicable export control, sanctions, or anti-money-laundering laws;
- Use the Platform in any way that could disable, overburden, or impair its infrastructure.
6.2 EventStreams reserves the right to remove any Content or suspend any Account that, in our reasonable opinion, violates these Terms or applicable law, without prior notice.

7. CONTENT AND INTELLECTUAL PROPERTY
7.1 Your Content. You retain ownership of all Content you upload to the Platform. By uploading Content, you grant EventStreams a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display your Content solely to the extent necessary to provide the Platform services to you.
7.2 Content Responsibility. You are solely responsible for all Content associated with your Account, including Content generated or transmitted by Attendees through your Events. You represent and warrant that:
- You have all necessary rights to upload and use such Content;
- Your Content does not infringe the intellectual property, privacy, or other rights of any third party;
- Your Content complies with all applicable laws and regulations.
7.3 EventStreams Intellectual Property. The Platform, including all software, design, trademarks, and documentation, is the property of EventStreams or its licensors. Nothing in these Terms grants you any rights in EventStreams' intellectual property other than the limited right to access and use the Platform as described herein.
7.4 Feedback. If you provide suggestions, feedback, or ideas about the Platform, you grant EventStreams an irrevocable, perpetual, royalty-free licence to use such feedback for any purpose without obligation to you.
7.5 Copyright. If you believe that any Content on the Platform infringes your copyright, please contact us at hello@eventstreams.co with sufficient detail to identify the allegedly infringing material. We will respond in accordance with applicable law.

8. ATTENDEE DATA AND PRIVACY
8.1 EventStreams and the Organisation share responsibility for personal data relating to Attendees depending on the nature of the processing. The applicable data processing arrangements are set out in the Data Processing Agreement (DPA), which forms part of the contract between EventStreams and the Organisation.
8.2 You, as the Organisation, are the data controller for Attendee personal data collected through your Events. EventStreams acts as a data processor in respect of such data.
8.3 You must provide Attendees with a lawful basis for collecting their data, provide clear and adequate privacy notices, and comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.
8.4 You must not use Attendee data collected through the Platform for purposes unrelated to the Event for which it was collected without a separate lawful basis.
8.5 You are responsible for honouring Attendee rights requests (access, erasure, portability, etc.) in a timely manner.

9. THIRD-PARTY SERVICES
9.1 The Platform integrates with or makes use of the following third-party services in order to deliver its functionality. By using the Platform, you acknowledge that your use may also be subject to the respective terms and privacy policies of these providers:

| Aviationstack | Flight lookup and travel data |
| what3words | Venue address autosuggest and location linking (where enabled) |
9.2 EventStreams is not responsible for the availability, accuracy, or conduct of any third-party service. Any disruption to third-party services may affect Platform availability, and EventStreams shall not be liable for resulting downtime or data loss where such disruption is outside our reasonable control.
9.3 Where you supply your own API credentials for third-party services (such as OpenAI or ElevenLabs) through the Platform's credential management features, you remain solely responsible for compliance with the respective provider's terms and for any costs incurred.

10. PLATFORM AVAILABILITY AND MAINTENANCE
10.1 EventStreams will use commercially reasonable efforts to maintain Platform availability. We do not guarantee uninterrupted or error-free access.
10.2 We may carry out scheduled maintenance, which we will endeavour to communicate in advance where reasonably practicable. Emergency maintenance may be carried out without notice.
10.3 Uptime commitments, if any, are set out in the applicable Service Level Agreement (SLA) associated with your Plan. No SLA applies to Free plan accounts.

11. DISCLAIMERS AND LIMITATION OF LIABILITY
11.1 "As Is" Basis. The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, EventStreams disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 Exclusion of Consequential Loss. To the fullest extent permitted by applicable law, EventStreams shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, or goodwill, even if advised of the possibility of such damages.
11.3 Cap on Liability. EventStreams' total aggregate liability to you in connection with the Platform shall not exceed the greater of (a) the fees paid by you to EventStreams in the 12 months preceding the event giving rise to the claim, or (b) £100.
11.4 Events Outside Our Control. EventStreams shall not be liable for any failure or delay in performing its obligations to the extent caused by circumstances outside its reasonable control, including acts of God, government action, infrastructure failure, or acts or omissions of third-party service providers.
11.5 Consumer Rights. Nothing in these Terms limits or excludes liability that cannot be lawfully limited or excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

12. INDEMNIFICATION
12.1 You agree to indemnify, defend, and hold harmless EventStreams, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform;
- Your Content;
- Your breach of these Terms;
- Your violation of any applicable law;
- Any claim by an Attendee arising from an Event you organised.

13. SUSPENSION AND TERMINATION
13.1 Termination by You. You may terminate your Account at any time by contacting hello@eventstreams.co or through the Account settings. Termination takes effect at the end of the current billing period.
13.2 Suspension or Termination by EventStreams. EventStreams may suspend or terminate your Account immediately, without notice, if:
- You breach these Terms;
- We are required to do so by law;
- Your Account is used for fraudulent or illegal activity;
- Your continued use poses a security risk to the Platform or other users.
13.3 Effect of Termination. Upon termination:
- Your right to access the Platform ceases immediately;
- EventStreams may delete your Content and Account data after a reasonable retention period (typically 30 days), unless required by law to retain it longer;
- Any accrued payment obligations remain enforceable;
- Provisions of these Terms which by their nature should survive termination will do so, including Sections 7, 8, 11, 12, and 15.

14. MODIFICATIONS TO THE TERMS
14.1 EventStreams reserves the right to update these Terms at any time. We will notify you of material changes by email to your registered address or by prominent notice on the Platform, with not less than 14 days' notice before the changes take effect for existing paid subscribers.
14.2 Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Platform and cancel your subscription.

15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales.
15.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
15.3 Informal Resolution. Before bringing formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at hello@eventstreams.co. We will try to resolve the matter within 30 days.

16. GENERAL PROVISIONS
16.1 Entire Agreement. These Terms, together with the Privacy Policy, Data Processing Agreement, and any applicable Plan-specific terms, constitute the entire agreement between you and EventStreams in relation to your use of the Platform and supersede all prior agreements.
16.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver. A failure by EventStreams to enforce any right under these Terms shall not constitute a waiver of that right.
16.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. EventStreams may assign its rights and obligations, including on a merger, acquisition, or sale of assets, on written notice to you.
16.5 Notices. Notices from EventStreams to you will be delivered by email to your registered address. Notices from you to EventStreams must be sent to hello@eventstreams.co or by post to our registered office.
16.6 No Partnership. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and EventStreams.
16.7 Third-Party Rights. These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999, except that our affiliates may enforce provisions that directly benefit them.
